This agreement contains the complete terms and conditions that apply to your (the agent or agency) participation in RealMagazineSource.com Affiliate Program (AP) by participating in AP you agree to be bound by the terms and conditions of this agreement.

1) Description Of AP(the program)

Once we receive your application, you will be able to participate as a partner in the program. As a partner you will be permitted to sell one or all of RealMagazineSource.com listed magazine subscriptions (products).

2) Applying To Become An AP Member

To become a partner in the program, you must not currently be a magazine reseller. You must submit a complete application via this site. Our online affiliates are immediately accepted in the program, and our offline affiliates will be reviewed before acceptance. We may reject your application at any time if we determine (in our sole discretion) that your site or organization is unsuitable for the program for any reason (including without limitation, because your site contains material that is violent, threatening, harmful, obscene, pornographic, unlawful, discriminatory, defamatory, infringing, harassing, offensive or otherwise objectionable or inappropriate) or if your orders are not being submitted to us on a weekly basis.

3) Establishing access from your site to our sites

Upon acceptance into AP, you may (your agency may) gain access to our website by using your email address and chosen password. You may select one or more of our listed products to feature on your site. You may change the selection of our products featured on your site at any time without our approval. For each of our listed products selected by you, you will display on your site the text, graphics, images, logos and other promotional material furnished by us, in promoting our listed products. For example, if you promote subscriptions to our listed magazines, you may be required to display particular terms for the offer, (e.g. the number of issues, the terms, pricing) and/or materials to promote the magazine (e.g. cover images, portions of content) You will be responsible for the maintenance and placement of our listed promotional materials on your site.

4) Policies, Procedures and Pricing of Our Listed Products

All orders sold by you will be deemed your customers. Online affiliates will sell our products at rates set by us. These rates may not be modified for any reason. Our offline affiliates may sell any of our listed products at subscription rates set forth by your agency, as long you follow our guidelines. It is our policy and that of the publishers however, that no subscription can be sold by you, for less than the cost listed on our affiliate price list. (As stated in our price lists and updated materials) All price lists include 3 categories: product, your cost, and suggested retail price. It is your agency sole responsibility to keep track of price changes and removal of any magazine that may cease publication. Magazine subscriptions can only be sold to customers in the United States. We also have zero tolerance towards spam, if you spam, your affiliate account will be terminated and you may lose all unpaid commissions.

We may run promotions and specials upon checkout on your virtual stores or place banner advertising on the site. Affiliates do not recieve commissions on these specials and advertising. They will earn commission on every magazine that is sold as listed on their site; this includes all front page specials.

You will collect all your subscription fees from your customers through our payment interface. If you are an online partner, the payment interface is built into the html code we provide to you. If you are an offline partner, you will enter all orders, customer data and payment information into our secure order entry screen, accessible from our affiliate center.

5) Payment and Entry of Orders

Along with your orders you must include proper remittance from your customers. We accept Visa and Mastercard for all magazine subscriptions.

6) You will be solely responsible for the operation and maintenance of your site and all materials that appear on your site, including the accuracy and appropriateness of such content (e.g. our promotional material: ensuring that materials posted on your site do not violate or infringe upon any party) (e.g. copyrights, trademarks, patents, privacy, publicity, or other personal or proprietary rights), ensuring that materials posted on your site are libelous or otherwise illegal) We specifically disclaim all liability concerning your site and all materials that appear on your site.

7) Term An Termination Of The Agreement

The term of this agreement will begin upon our acceptance of your application to become an agent of the program and will end when terminated by either party. Either you or we may terminate this agreement at any time, with or without cause, for any reason, by giving the other party written notice of termination.

8) Public Statement

You agree that we may identify you or your site or person as an agent of the program. You may not make public or distribute any price list and marketing materials or make any public communication regarding this agreement or your participation in the program without our prior written consent.

9) Relationship

Our relationship is that of independent contractors. Since you and we are independent contractors, you will have no authority to make or accept any offers or make any representations on our behalf.

10) Entire Agreement

This agreement constitutes the entire agreement and understanding between the parties with respect to subject matter of this agreement. A written instrument signed by both parties may only modify this agreement.
